چکیده
بر اساس قانون بورس و اوراق بهادار مهمترین ماموریت بورس حمایت از حقوق سرمایه گذاران می باشد، لیکن حمایت واقعی که مد نظر قانون گزار بود به درستی محقق نشده است .چرا که نیازهای واقعی این امر که توسعه حقوقی این بازار بود مهیا نگردیده است.زیرا نیاز امروز بازار سرمایه همزمان با پیشرفت بازار، پیشرفت حقوقی و قانون مدار توام با حمایت های حقوقی و قضایی از این بازار می باشد.امروزه سرمایه گزاری در بورس از مرز متخصصین گذر کرده و به توده مردم نیز تسری یافته است. افراد مختلف امروزه با حضور در این بازار تخصصی و ریسک پذیر به دنبال کسب سود چشمگیر بوده و در باور آنها این بازار یک بازار موقتی و کوتاه مدت و البته سود ده جلوه می نماید. در این میان عدم انجام وظایف و تکالیف متولیان مرتبط با بازار، ضعف قوای اقتصادی دولت و تبلیغات برخی افراد ذی نفوذ سیاسی و اجتماعی نیز مزید بر علت شده و افراد را ترغیب به حضور در این بازار می نماید. بدون اینکه کوچکترین اطلاعاتی از وضعیت این بازار و نحوه فعالیت داشته باشند . در این شرایط که به دلائل عدیده اقتصادی و غیر اقتصادی این بازار چهره واقعی خود را نمایان و سرمایه گزاران خرد و کلان دچار خسران می شوند، به دنبال شیوه هایی می گردند تا حداقل سرمایه آنها حفظ شود .شیوه هایی حقوقی که امروزه در دنیا در حمایت از سرمایه گذاران ،خصوصا سرمایه گذاران خرد بسیار کاربرد دارد.مهمترین و بارز ترین خسران درا ین بازار کاهش ارزش سهام است.Examining the ways of compensating investors by the publisher and the stock exchange organization by studying the geographical scope of the American and French legal regimes
